Legal & compliance specialist

- Ensuring the compliance of company’s operations with regulations of laws and internal regulations of the company.

- Researching to provide advice on legal matters arising from the company’s operation.

- Drafting and negotiating a variety of commercial contracts from assets mmanagement/ share purchase agreements to vendor, and non-disclosure agreements to managing legal risk, litigation, employment issues, and ensuring the company’s operations are protected.

- Monitoring the execution of contracts/ documents and implementation of the transactions/ investment/ asset management projects.

- Ensuring that the company has controls to manage its regulatory and compliance risk.

- Providing legal perspective towards and/or drafting internal procedures of the company.

- Drafting social life documentations (meeting minutes, decisions of the members’ council, etc.) and ensuring the compliance of elements pertaining to the social life of the company (composition of the members’ council, amendment of charter, etc.).

- Reviewing/ drafting documents of the company (official letter, power of attorney, etc.).

- Keeping abreast of changes in laws affecting the company and its investment.

- Giving legal advice with respect to corporate administration; preparing corporate documents; anticipate and guard against legal risks involving the company and its investment.

- Managing external counsel.

- Studying proposed and existing legislation related to operations of the company and advising management on the same.

- Other duties as assigned.

- University degree - major in the same field is preferable.

- At least 3 years of experience in law firm or fast-paced in-house corporate legal department.

- Solid knowledge of Vietnam laws and SSC regulations applicable to corporations and capital management/ asset management company.

- Experience in investment industry or financial background is highly desired.

- Good communication skills both written and verbal (English & Vietnamese).

- Proficient with Microsoft Office.

- Detail-oriented and multitasking abilities.

- Persuasive individual possessing strong negotiating skills.

- Ability to grasp legal and business issues, balance legal and compliance risk, and provide practical and constructive legal advice in a business environment.

- Excellent time management, communication, decision-making, presentation, human relations, and organizational skills.
